TERMS AND CONDITIONS

1. Overview

These Terms and Conditions ("Agreement") govern the use of the Sustainable Success Dashboard ("Dashboard") powered by Notion Template and the provision of Two (2) One-Hour Notion Consulting Calls ("Consulting Services") provided by The New Orleans Wellness Collaborative ("Company," "we," "us," or "our"). By purchasing, accessing, or using the Dashboard and Consulting Services, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms and Conditions, please refrain from using the Dashboard and Consulting Services.

2. Use of the Dashboard

2.1 License: Upon purchase, we grant you a limited, non-exclusive, non-transferable license to access and use the Dashboard for your personal or business purposes. You may not share, resell, or distribute the Dashboard or any derivative works based on it without our prior written consent.

2.2 Modification: You may modify the Dashboard to suit your needs, but you may not claim the modified version as your own or redistribute it without our explicit permission.

2.3 Access and Availability: The Dashboard is provided as a downloadable Notion template. We will provide access instructions upon purchase. We are not responsible for any issues related to your ability to access the Dashboard due to third-party platform changes, internet outages, or other technical difficulties beyond our control.

3. Consulting Services

3.1 Scope: The Consulting Services include Two (2) One-Hour Notion Consulting Calls. These calls will be scheduled at mutually agreed-upon times within three (3) months of your purchase.

3.2 Rescheduling and Cancellations: You may reschedule a consulting call with at least 24 hours' notice. Cancellations made within 24 hours of the scheduled time or no-shows will not be refunded or rescheduled.

3.3 Recordings: We may, with your permission, record the consulting calls for internal review and quality purposes. These recordings will not be shared publicly or with third parties without your consent.

4. Payment and Refunds

4.1 Payment: Payment for the Dashboard and Consulting Services must be made in full at the time of purchase. We accept payment through the methods specified on our website.

4.2 Refunds: Due to the digital nature of the Dashboard and the time-sensitive nature of the Consulting Services, all sales are final, and no refunds will be provided.

5. Intellectual Property

5.1 Ownership: We retain all rights, title, and interest in and to the Dashboard, including any updates, modifications, or improvements made by us. The Consulting Services and any materials provided during the calls are also our intellectual property.

5.2 Trademarks: Any trademarks, service marks, logos, or trade names used in connection with the Dashboard or Consulting Services are owned by us or our licensors. You may not use any of these marks without our prior written permission.

6. Limitation of Liability

6.1 No Guarantees: We do not guarantee that the Dashboard or Consulting Services will meet your specific requirements, achieve any particular results, or be error-free.

6.2 Limitation: To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses arising out of or related to your use of the Dashboard or Consulting Services.

7. Confidentiality

7.1 Confidential Information: Both parties agree to keep confidential any information disclosed during the Consulting Services that is identified as confidential. This includes, but is not limited to, business plans, strategies, financial information, and personal data.

7.2 Exceptions: The obligation of confidentiality does not apply to information that is already in the public domain, obtained from a third party without breach of confidentiality, or required to be disclosed by law.

8. Termination

8.1 Termination by You: You may terminate this Agreement at any time by ceasing to use the Dashboard and Consulting Services. However, no refunds will be issued.

8.2 Termination by Us: We reserve the right to terminate your access to the Dashboard and Consulting Services without notice if you breach any part of this Agreement.

9. Governing Law and Dispute Resolution

9.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles.

9.2 Dispute Resolution: Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Gretna, LA], and the language of the arbitration shall be English.

10. Amendments

We reserve the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting the updated Terms and Conditions on our website. Your continued use of the Dashboard and Consulting Services after any such changes constitutes your acceptance of the new terms.

11. Entire Agreement

This Agreement constitutes the entire understanding between you and us regarding the Dashboard and Consulting Services and supersedes all prior agreements, discussions, or representations, whether written or oral.
